1. Acceptance of Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Buyer," "you," or "your") and Recreational LLC, doing business as We Have Hemp ("Company," "we," "us," or "our"), governing your access to and use of the wehavehemp.com wholesale platform ("Platform") and all purchases made through it.

By creating an account, placing an order, or otherwise using this Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must discontinue use of the Platform immediately. These Terms apply exclusively to business-to-business (B2B) wholesale transactions. This Platform is not intended for individual consumer purchases.

2. Eligibility and Account Registration

Access to this Platform is restricted to authorized wholesale buyers. By registering for an account, you represent and warrant that:

• You are at least 21 years of age.
• You are a duly authorized representative of a legitimate business entity.
• Your business holds all licenses, permits, and authorizations required under applicable federal, state, and local laws to purchase, possess, distribute, and/or resell hemp-derived products.
• All information provided during registration is accurate, current, and complete.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at orders@wehavehemp.com if you suspect unauthorized access to your account. We reserve the right to suspend or terminate any account at our sole discretion, including for suspected fraud, misrepresentation, or violation of these Terms.

3. Products and Compliance

All products offered on this Platform are derived from hemp as defined under the Agriculture Improvement Act of 2018 (the "2018 Farm Bill") and contain no more than 0.3% Delta-9 tetrahydrocannabinol (THC) on a dry weight basis. Product categories include, but are not limited to, hemp flower, pre-rolls, crumble and concentrates, edibles, and hemp-infused seltzers.

Certificates of Analysis (COAs) from independent third-party laboratories are available for all products and may be accessed through the Platform. COAs are provided for informational purposes. It is the sole responsibility of the Buyer to:

• Verify that all products comply with the laws and regulations of the Buyer's jurisdiction before purchasing, receiving, or reselling.
• Ensure that proper labeling, packaging, and marketing requirements are met in accordance with applicable state and local regulations when reselling products.
• Obtain and maintain any licenses or permits required for the resale of hemp products in the Buyer's jurisdiction.

Recreational LLC makes no representation or warranty that any product is legal in every jurisdiction. We are not responsible for any legal consequences arising from your purchase, possession, or resale of products in jurisdictions where such activity may be restricted or prohibited.

4. Ordering and Pricing

All orders placed through the Platform are subject to acceptance by Recreational LLC. We reserve the right to refuse, cancel, or limit any order for any reason, including but not limited to product availability, pricing errors, or suspected fraud.

Prices listed on the Platform are wholesale prices quoted in United States Dollars (USD) and are subject to change without prior notice. Pricing displayed at the time of order submission will be honored for that order, provided the order is accepted. Applicable taxes, shipping fees, and handling charges will be calculated and displayed during the checkout process.

Minimum order quantities or dollar thresholds may apply to certain products or promotions. Any such requirements will be clearly indicated on the Platform.

5. Payment Terms

Payment is processed securely through our payment processor, Clover. We accept major credit cards, debit cards, and other payment methods as indicated at checkout. Full payment must be received and verified before any order is processed or shipped.

By providing payment information, you represent and warrant that you are authorized to use the payment method provided and that the information is accurate. In the event of a payment failure, decline, or chargeback, we reserve the right to suspend your account, cancel pending orders, and pursue collection of amounts owed, including reasonable attorneys' fees and collection costs.

6. Shipping and Delivery

Orders are shipped via UPS through our logistics partner, EasyPost. Estimated delivery times are provided at checkout but are not guaranteed. Title to and risk of loss for all products passes to the Buyer upon delivery to the shipping carrier. It is the Buyer's responsibility to inspect all shipments upon receipt. Claims for damaged, missing, or incorrect items must be reported within 48 hours of delivery by contacting orders@wehavehemp.com.

7. Returns and Refunds

Due to the nature of hemp products and regulatory requirements, all sales are generally considered final. Returns may be accepted under limited circumstances, such as damaged goods, incorrect shipments, or product defects. For full details, please review our Return & Refund Policy.

8. Intellectual Property

All content on this Platform, including but not limited to text, graphics, logos, images, and product descriptions, is the property of Recreational LLC or its licensors and is protected by United States and international copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise use any content from this Platform without our prior written consent.

The underlying software that powers this Platform is the property of Michael McCutcheon and is licensed to Recreational LLC for the operation of its wholesale business. All rights to the software and its source code are reserved by the software's author.

The "We Have Hemp" name, logo, and all related marks are trademarks of Recreational LLC. Nothing in these Terms grants you any right to use our trademarks or the underlying software without prior written authorization.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RECREATIONAL LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF BUSINESS OPPORTUNITY, LOSS OF DATA, OR LOSS OF GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM, ANY PRODUCTS PURCHASED THROUGH THE PLATFORM, OR THESE TERMS, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

In no event shall our total aggregate liability to you for all claims arising out of or related to these Terms or your use of the Platform exceed the total amount you paid to us for the specific order giving rise to the claim during the twelve (12) months preceding the date the claim arose.

10. Indemnification

You agree to indemnify, defend, and hold harmless Recreational LLC, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) your resale, distribution, or marketing of products purchased through the Platform; or (e) any claim by a third party related to your business activities involving products purchased from us.

11. Disclaimer of Warranties

THE PLATFORM AND ALL PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT PRODUCT DESCRIPTIONS, PRICING, OR AVAILABILITY INFORMATION WILL BE ACCURATE OR COMPLETE.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or your use of the Platform shall be resolved exclusively in the state or federal courts located in the State of Florida, and you consent to the personal jurisdiction of such courts.

Before initiating any formal legal proceeding, the parties agree to attempt in good faith to resolve any dispute through informal negotiation by contacting orders@wehavehemp.com. If the dispute is not resolved within thirty (30) days, either party may proceed with formal legal action.

13. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent of the parties.

14. Modifications to Terms

Recreational LLC reserves the right to modify, amend, or update these Terms at any time. Changes will be effective immediately upon posting to the Platform. The "Last Updated" date at the bottom of this page will be revised accordingly. Your continued use of the Platform following the posting of revised Terms constitutes your acceptance of and agreement to the changes. It is your responsibility to review these Terms periodically.

15. Entire Agreement

These Terms, together with our Privacy Policy, Return & Refund Policy, and Shipping Policy, constitute the entire agreement between you and Recreational LLC with respect to the subject matter hereof and supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written.
